Terms of Service

Version 1.0 Effective 14 August 2026 Governed by Victorian law
DRAFT — pending legal review. These terms describe how Strova is actually operated today and are published so customers can assess us. They have not yet been reviewed by a qualified Australian commercial lawyer, and they are not yet the executed agreement for any customer. 1. This agreement

These Terms of Service form a binding agreement between you and Strova. By creating an account, or by using the Platform, you accept them. If you accept on behalf of an organisation, you confirm you are authorised to bind it, and "you" means that organisation.

Where a signed order form or enterprise agreement exists, it prevails over these terms to the extent of any inconsistency.

2. The service

Strova is a project intelligence and document control platform for construction and infrastructure projects. What is available to you depends on your plan, your project tier, and the modules your workspace administrator has enabled.

We develop the Platform continuously. Features may be added, changed or removed. We will not remove a material feature you depend on without reasonable notice.

3. Accounts and access

  • You are responsible for the accuracy of your account details and for everything done under your credentials.
  • Do not share credentials. Each person who uses the Platform needs their own account — this is what makes the audit trail meaningful.
  • Tell us promptly at support@strovapi.com if you believe an account has been compromised.
  • Workspace administrators control who is invited, what role they hold, and what they can see. Those decisions are yours, not ours.

4. Your data stays yours

You own your project data. Uploading it to Strova transfers no ownership. You grant us only the licence we need to host, process, back up and display it in order to run the Platform for you, and to support you when you ask.

We will not sell it, mine it for advertising, or use it to train AI models.

You are responsible for the lawfulness of what you put in — including having a proper basis to collect and share any personal information about your workers and subcontractors, and for the visibility settings you apply to it. How we handle personal information is set out in our Privacy Policy.

5. Acceptable use

You must not:

  • Break the law, or infringe anyone's rights, using the Platform.
  • Upload malware, or content you have no right to upload.
  • Attempt to access another customer's data, probe or bypass our security controls, or test them without our written permission. If you find a vulnerability, please report it to support@strovapi.com — we would much rather hear from you than not.
  • Resell or white-label the Platform without our agreement.
  • Scrape it, or use automation that degrades it for other customers.
  • Drive AI features through automation, in a loop, or in any way designed to consume credits abnormally.

6. AI features

The Platform includes AI-assisted features. Using them means:

  • Relevant project content is sent to a third-party AI provider to generate the response (see the Privacy Policy §7).
  • Output is general information to assist your team. It is not legal, safety, engineering, financial or other professional advice, and nothing it produces is a compliance determination.
  • A competent person must review AI output before it is relied on. This matters most exactly where the stakes are highest — safety documentation, contractual correspondence, and compliance records.
  • AI can be wrong, and can be confidently wrong. Do not treat it as a substitute for professional judgement.
  • Metered AI features consume credits. Where a credit pool is exhausted, or a workspace reaches its monthly safety ceiling, AI features pause until it is topped up or reviewed. The rest of the Platform is unaffected.

7. Records and reliance

Strova helps you keep a project record. It does not certify that record, and it is not a substitute for your own document control obligations under your contract.

Email delivery depends on third-party providers and receiving mail servers. We surface delivery failures when we are told about them, but we cannot guarantee any particular message was delivered or read. Do not rely on the Platform alone for time-critical contractual notices — serve them however your contract requires.

8. Fees and payment

  • Fees are set out in your order form or at /pricing.html, in Australian dollars, exclusive of GST unless stated.
  • Billing is currently by invoice. Invoices are payable within 14 days unless your order form says otherwise. Self-serve card payment is not yet available.
  • Plans, tiers and add-ons are configured by us on your instruction. Every change is recorded in an audit log.
  • Overdue accounts may be suspended after reasonable notice — see §11.
  • Fees already paid are not refundable except where the law requires it.
  • We may change prices with at least 30 days' notice. A change does not affect the current paid period.

9. Availability

We aim for high availability and we monitor the Platform, but we do not currently offer a contractual uptime SLA. We would rather tell you that than publish a number we cannot yet stand behind. Enterprise customers who need committed availability should raise it with us directly.

We may take the Platform down for maintenance. Where the work is planned, we will give notice and schedule it outside Australian business hours where we can.

10. Support

Support is by email at support@strovapi.com, and through the in-app feedback tool, during Australian business hours. We triage by severity — something that blocks work comes before something cosmetic.

11. Suspension

We may suspend access where an account is materially overdue, where use breaches §5, or where continued access presents a security risk to you or to other customers. Except in a genuine emergency we will contact you first and give you a reasonable chance to fix it. Suspension does not delete your data — see §12.

12. Term, cancellation, and getting your data out

  • The agreement continues until cancelled.
  • You may cancel at any time, effective at the end of the current paid period.
  • We may terminate for a material breach you do not remedy within 14 days of written notice.
  • After cancellation your data is retained for 90 days so you can reinstate the account or export it. Ask us at any point during that window and we will produce an export.
  • After 90 days it becomes eligible for deletion, including from backups on their normal rotation.
Export your project record before you leave. Construction data has a long tail — a defect from 2026 can matter in 2032 — and the 90-day window is genuinely a deadline.

13. Intellectual property

Strova owns the Platform, its software, design and brand. These terms grant you a non-exclusive, non-transferable right to use it during the term, and nothing more.

If you send us feedback or a feature suggestion, we may use it without obligation or payment. That does not give us any right to your project data.

14. Warranties

We warrant that we will provide the Platform with reasonable care and skill.

Beyond that, and to the extent the law permits, the Platform is provided "as is". We do not warrant that it will be uninterrupted or error-free, or that it will meet a requirement we have not specifically agreed with you in writing.

Nothing in these terms excludes, restricts or modifies any consumer guarantee or other right you have under the Australian Consumer Law that cannot lawfully be excluded. Where we are permitted to limit liability for breach of such a guarantee, our liability is limited to resupplying the service or paying the cost of having it resupplied.

15. Liability

Subject to §14, and to the extent the law permits:

  • Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings.
  • Our total aggregate liability arising out of or in connection with this agreement is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
  • We are not liable for loss arising from your own configuration choices — including who you grant access to and what visibility you apply to a record.

16. Indemnity

You indemnify us against claims brought by a third party arising from content you put into the Platform, or from your use of it in breach of §5 — except to the extent the claim is caused by our own breach or negligence.

17. Changes to these terms

We may update these terms. The version and effective date at the top always show the current one. For a material change we will give account holders at least 30 days' notice by email. Continuing to use the Platform after a change takes effect means you accept it; if you do not, you may cancel under §12.

18. General

  • Governing law: Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of its courts.
  • Disputes: talk to us first. Most things are resolved by a conversation, and neither of us wants the alternative.
  • Assignment: neither party may assign without the other's consent, except to a successor of substantially the whole business.
  • Entire agreement: these terms, the Privacy Policy, and any order form are the whole agreement between us on this subject.
  • Severability: if a provision is unenforceable, the rest stands.
  • No waiver: not enforcing a right on one occasion does not waive it.
